TERMS OF USE, CONFIDENTIALITY AND SECURITY AGREEMENT

 

By means of this instrument, Executive Courses LLC, a Florida limited liability company, in its capacity as a provider of short-term educational experiences and international immersion programs (hereinafter referred to as the “Life at Campus”), hereby establishes this Terms of Use, Confidentiality and Security Agreement (hereinafter referred to as the “Agreement”), which governs the Participant’s access to the Life at Campus exclusive content, methodologies, and platforms.

By accessing the platform or participating in any programs offered by Life at Campus, the Participant declares that he or she has read, understood, and fully agrees to be bound by the provisions of this Agreement, as set forth below:

 

1. INTELLECTUAL PROPERTY AND COPYRIGHT

1.1 - The Participant acknowledges that all content made available by Life at Campus, including but not limited to live or recorded classes, videos, presentations, handouts, educational materials, methodologies, and any other educational content, is protected under applicable intellectual property and copyright laws.

1.2 - Such content is the exclusive property of Life at Campus or its academic and institutional partners.

The Participant expressly agrees not to:

I – record, copy, reproduce, store, edit, transmit, display, sell or distribute any content made available;

II – perform screen recordings, unauthorized downloads, or any form of content capture;

III – share, sell, sublicense, or otherwise make such materials available to any third party;

IV – use the content for commercial or external educational purposes without the prior written consent from Life at Campus.

1.3 - Any violation of this clause may result in immediate termination of access and may subject the Participant to legal action, including civil and criminal liability in accordance with applicable law.

 

2. ACCOUNT SECURITY, ACCESS, AND MONITORING

2.1 - Access to the platform is personal, individual, non-transferable, and limited to the Participant.

2.2 - The Participant is responsible for maintaining the confidentiality of login credentials and for all activities conducted under his or her account.

2.3 - Sharing login credentials with any third party is strictly prohibited.

Life at Campus reserves the right to monitor platform usage, including simultaneous access or access from multiple devices or IP addresses.

2.4 - If Life at Campus determines, in its sole discretion, that access has been shared or misused, or any other irregularity, Life at Campus may suspend or terminate the Participant’s access immediately, without any right to refund.

 

3. CONFIDENTIALITY

3.1 - The Participant agrees to maintain keep strictly confidential all non-public information, including methodologies, strategies, exclusive content, and any other information accessed as a result of participation in Life at Campus platform, programs and/or events.

3.2 - The Participant shall not disclose, reproduce, or use any confidential information for any purpose other than personal participation without the prior written consent of Life at Campus.

 

4. CODE OF CONDUCT AND ETHICAL COMMITMENT

4.1 - The Participant agrees to behave in a professional, respectful, and collaborative manner in all interactions within the platform, classes, discussion forums, and any other activities related to Life at Campus events.

4.2 - Life at Campus reserves the right to remove any Participant whose conduct is disruptive, inappropriate, or detrimental to the experience of others, without refund and without limiting any other legal remedies available.

 

5. DATA PRIVACY

5.1 - Life at Campus may collect and process personal information for purposes including program administration, communication, certification, and service improvement.

5.2 - Such information will be handled in accordance with applicable data protection laws in the United States of America.

5.3 - By participating in the program, the Participant consents to such collection and use of personal information.

 

6. ENFORCEMENT AND LIABILITY FOR MISUSE

6.1 - The Participant acknowledges that that unauthorized use of content or breach of this Agreement may cause irreparable harm to Life at Campus, so all content provided by Life at Campus is exclusive and protected under applicable intellectual property and copyright laws.

6.2 - Any unauthorized use, reproduction, recording, sharing, or disclosure of such content to any third party may result in the immediate suspension of the Participant’s access to the platform, without prejudice to the adoption of appropriate legal measures and the Participant’s liability for any damages caused to Life at Campus or its institutional partners.

6.3 – Life at Campus shall also be entitled to seek injunctive relief, damages, and any other remedies available at law or in equity.

The Participant agrees to indemnify and hold harmless Life at Campus from any claims, damages, losses, or expenses arising from any breach of this Agreement.

 

7. RESTRICTIONS ON RECORDING, AI USE, AND CONTENT EXTRACTION

7.1 - The Participant agrees that he or she shall not:

(a) record, transcribe, or otherwise capture any portion of the program for the purpose of storage, redistribution, or reuse;

(b) upload, input, or otherwise use any content, materials, or methodologies from the program in connection with artificial intelligence tools, machine learning models, or data training systems (including but not limited to ChatGPT, Gemini, Claude, or similar technologies);

(c) use any automated tools, bots, or scraping technologies to extract or reproduce content from the platform.

7.2 - Any violation of this clause shall be considered a material breach of this Agreement and may result in immediate termination of access, without refund, in addition to any other legal remedies available to Life at Campus.

 

8. PAYMENT TERMS; CANCELLATION AND REFUND POLICIES

8.1 - The total cost of one year platform access is $8,500 with the full amount due and payable at the time of enrollment. Discounts may apply.

8.2 - If the Participant cancels this Agreement at any time, then the Participant will not be entitled to a refund for any fee paid but the access will continue until the one year period is completed.

 

9. CONSENT TO PUBLICATION

9.1 - Participant hereby consents to any and all uses and displays, by Life at Campus and its agents, of the Participant’s name, voice, likeness, image, appearance and biographical information in, on or in connection with any pictures, photographs, audio and video recordings, digital images, websites, television programs and advertising, other advertising, sales and marketing brochures, books, magazines, other publications, CDs, DVDs, tapes and all other printed and electronic forms and media throughout the world, at any time during or after the Participant’s , for all legitimate business purposes of Life at Campus (hereinafter referred to as "Permitted Uses").

9.2 - Participant hereby forever releases Life at Campus and its directors, officers, employees, guest speakers and agents from any and all claims, actions, damages, losses, costs, expenses and liability of any kind, arising under any legal or equitable theory whatsoever at any time in connection with any Permitted Use.

 

10. ENTIRE AGREEMENT

10.1 - This Agreement and its attachments constitute the entire agreement between the parties regarding the contemplated transactions and supersede all prior agreements and understandings between the parties relating thereto.

 

11. TERMINATION

11.1 - Life at Campus reserves the right to terminate or suspend the Participant’s access to the platform or program at any time for violation of this Agreement, without notice and without refund.

 

12. AMENDMENTS

12.1 - No modification, termination, extension, or renewal of any provision of this Agreement will be binding upon either party unless made in writing and signed by the parties. Any supposed oral amendment shall be null and void.

 

13. APPLICABLE LAW

13.1 - This Agreement shall be construed in accordance with the laws of the State of Florida.  The state courts located in Miami-Dade County, Florida, shall have exclusive jurisdiction with respect to any dispute under this Agreement. Each of the parties waives trial by jury and the right to trial by jury in any and all actions or proceedings in any court between them or to which they may be parties, whether arising out of, under, or by reason of this Agreement.

 

14. NON-COMPETE AND NON-USE

14.1 - During the term of the Participant’s involvement in the platform and for a period of two (2) years thereafter, the Participant agrees not to directly or indirectly:

(a) reproduce, replicate, adapt, or create derivative works based on Life at Campus methodologies, frameworks, activities, events, or program structure;

(b) develop, offer, or participate in any educational program, course, or training that is substantially similar to or competitive with Life at Campus programs, using its content or any confidential information;
(c) use any knowledge, materials, or methodologies obtained through the program for the purpose of creating competing products or services.

14.2 - The Participant acknowledges that this restriction is reasonable and necessary to protect Life at Campus legitimate business interests, including its proprietary methodologies and competitive position.

 

15. LIQUIDATED DAMAGES

15.1 - The Participant acknowledges that any unauthorized use, reproduction, distribution, or disclosure of Life at Campus content or confidential information would result in substantial and difficult-to-quantify damages. Accordingly, in the event of a breach of this Agreement, the Participant agrees to pay liquidated damages in the amount of USD $50,000 per violation, or the maximum amount permitted by applicable law, whichever is greater.

15.2 - The parties agree that this amount represents a reasonable estimate of the damages and is not a penalty.

15.3 - This provision shall not limit Life at Campus right to seek additional remedies, including injunctive relief.

 

16. PARTICIPANT ACKNOWLEDGMENT. BY REGISTERING FOR THE PROGRAM THROUGH THIS WEBSITE PARTICIPANT ACKNOWLEDGES THAT HE OR SHE UNDERSTANDS, ACCEPTS AND AGREES TO BE BOUND AND ABIDE BY THIS AGREEMENT.
